Terms Of Business Effective From: 24/07/2020

The Householder's attention is drawn in particular to the provisions of clauses 11.3 and 11.4, and the privacy policy referenced in clause 11.4, which govern the transfer of information between Time For You and Time For You Limited.

1. DEFINITIONS
For the purpose of this Agreement:
1.1
The Term "Time For You" means the franchisee of Time For You Limited whose details are stated overleaf;
1.2
The term "Householder" means the Householder or Householders whose details appear overleaf, and the singular term shall be deemed to include the plural where applicable;
1.3
The term "Time For You Limited" means Time For You Limited (registered in England and Wales with company number 4325626), the franchisor which grants all franchises for Time For You Limited businesses;
1.4
The term "Retainer" shall mean the payments stated overleaf to be made by the Householder to Time For You;
1.5
The term "Website" means the website at www.timeforyou.cleaning operated by Time For You Limited; and
1.6
The term "Cleaner" means a cleaner from the database of cleaners maintained by Time For You.
1.7
The term "Privacy Policy" means the Time For You Limited Privacy Policy available here.
1.8
The term "Householder's Associate" means any person who is a husband, wife, civil partner, son, daughter, brother or sister of the Householder who lives at the Householder's premises.
1.9
The term "Notice of Right to Cancel" shall mean the Notice of Right to Cancel which accompanies and forms part of the Agreement.
1.10
The terms "Services" shall mean the services delivered by Time For You pursuant to the Agreement which includes the recruitment, vetting, organisation, introduction and administration of the Cleaner to the Householder.
2. AMENDMENTS
2.1
Time For You reserves the right to amend the terms and conditions of this Agreement, and shall inform the Householder of such changes by posting them to the Website, and/or sending or otherwise providing them to the Householder, not less than thirty (30) days before implementation of such changes.
3. INTRODUCTION
3.1
Time For You shall introduce a Cleaner to the Householder subject to the terms and conditions of this Agreement, to provide the hours of work specified overleaf as may be varied from time to time by prior agreement between the Householder and the Cleaner subject to the Householder's compliance with the minimum Retainer specified by Time For You from time to time. Note that changes to the number of hours shall affect payment to Time For You.
3.2
The Householder shall pay Time For You the Retainer for the introduction of the Cleaner and ongoing support for the duration of the Agreement.
3.3
This Agreement will be for a minimum initial period of thirteen (13) weeks as from the date of signature and shall continue thereafter on a month-to-month basis.
4. PAYMENT OF TIME FOR YOU RETAINER
4.1
The Householder shall sign, and return to Time For You, the standing order / direct debit mandate authorising payment of the Retainer, as specified overleaf, to be made from the Householder's bank to Time For You quarterly in advance. Such payments shall continue until the Agreement is terminated in accordance with Clause 9 or cancelled under Clause 10.
4.2
The payment of the Retainer for the initial period is payable on signature of the Agreement. However, Time For You shall not forward the standing order mandate for future payments to the Householder's bank until after a Cleaner has been retained by the Householder.
4.3
Any change to the hours as stated overleaf should be reported in advance to Time For You by the Householder and shall be subject to the appropriate adjustment to the amount of the Retainer.
4.4
If a Cleaner is retained by the Householder for more hours than originally agreed, without the Householder paying an additional fee to Time For You, Time For You reserves the right to claim the additional fee due, plus interest, for any period that the additional fee became payable but remained unpaid.
4.5
Where the payment by the Householder of the Retainer or any other sum payable under this Agreement is not received by Time For You by the due date, Time For You reserves the right to charge the Householder interest at the prevailing Bank of England Base Rate plus 2% for each day that the total amount outstanding or any part of it remains unpaid.
4.6
The failure to pay any Retainer payment for more than one month shall constitute a serious breach for the purposes of Clause 9.3 and Time For You shall accordingly be able to terminate this Agreement without prejudice to its right to charge interest on the overdue amount and/or to recover the outstanding amounts and its reasonable costs incurred in so doing.
5. HOUSEHOLDER OBLIGATIONS
5.1
The Cleaner is introduced to the Householder as a self-employed cleaner and the Householder shall retain the Cleaner under a "Contract for Services", which for the avoidance of doubt shall be a separate contractual arrangement between the Householder and the Cleaner only. The Householder shall agree directly with the Cleaner the terms of that contract.
5.2
The Householder shall agree with the Cleaner directly what services are to be performed by the Cleaner, and such services shall form the basis of the Cleaner's obligations under the Contract for Services to be entered into. The Householder may change the scope and manner of the services contracted for under the terms of the Contract for Services at any time by reaching mutual agreement with the Cleaner.
5.3
The Householder shall pay any Cleaner retained by the Householder at the rate agreed in the Contract for Services and such fees shall be paid directly to the Cleaner in accordance with that agreement.
5.4
The Householder shall provide a safe working environment for the Cleaner at all times.
6. OBLIGATIONS OF TIME FOR YOU
6.1
Time For You shall introduce a Cleaner to the Householder in accordance with Clause 3.1.
6.2
Where the Householder is unhappy with the Cleaner introduced by Time For You and/or notifies Time For You that, for whatever reason, the Cleaner's services are to cease permanently, Time For You shall:
6.2.1
endeavour to introduce a replacement Cleaner to the Householder; and
6.2.2
issue the Householder with a refund or credit for any period that the Householder is without a Cleaner following the Householder's notification of the same, save to the extent that by agreement with the Householder the replacement Cleaner provides additional services to compensate the Householder for services not received by the Householder during the period when there was no Cleaner retained. In such circumstances, the Agreement shall continue unaffected and all of the terms shall continue to apply.
6.3
In the event that a suitable replacement Cleaner cannot be found and introduced to the Householder, then termination under Clauses 9.1 and/or 9.2 may apply.
6.4
In performing its obligations under this Agreement Time For You shall use its reasonable care and skill.
7. INSURANCE
7.1
In respect of each Cleaner introduced by Time For You and retained by the Householder, Time For You shall provide Public Liability insurance which provides indemnity cover.
7.2
The limit of the cover of the Public Liability insurance is no less than a minimum of £2,000,000. Neither Time For You nor its insurers shall be liable for the first £100 of any claim / event nor for any claim / event of £100 or less in value. However, where Clause 8.2 applies, Time For You may also be liable for the first £100 of any claim / event.
7.3
The Householder shall have adequate insurance cover in place against liabilities to the Cleaner and shall produce to Time For You a copy of the appropriate insurance policy and certificate if so requested by Time For You. (This may be in the form of a general household insurance policy.)
7.4
The Householder shall not be covered by Time For You's insurance policy in the following circumstances:
7.4.1
where the cleaner is not introduced by Time For You;
7.4.2
where the materials or equipment used by the Cleaner are not provided directly by the Householder;
7.4.3
where the terms of this Agreement are otherwise breached.
7.5
No claims for bleach damage shall be accepted.
8. LIABILITY
8.1
Subject to Clause 8.2 below, Time For You shall not be liable for:
8.1.1
any loss or damage in excess of the limit of its Public Liability insurance cover or outside the scope of its cover, as described in Clause 7;
8.1.2
any losses incurred by the Householder as a result of any failure of a retained Cleaner to comply with his or her contractual obligations under the Contract for Services for whatever reason;
8.1.3
failure of any retained Cleaner to return keys and any loss that may arise as a result;
8.1.4
collusion or theft of property or possessions by a retained Cleaner.
8.2
Time For You shall be liable to the Householder:
8.2.1
where Time For You has not fulfilled its obligations to perform with reasonable care and skill under this Agreement or has failed to perform its obligations at all or to any significant extent;
8.2.2
for death or personal injury caused by its negligence.
8.3
Nothing in this Agreement shall affect the statutory rights of the Householder as a consumer.
9. TERMINATION
9.1
Time For You may terminate the Agreement at any time by giving not less than one calendar month's notice in writing to the Householder. In such circumstances, the balance (if any) of the Retainer for the period after expiry of the notice shall be refunded to the Householder. Clauses 9.5 - 9.7 shall continue to apply.
9.2
The Householder may terminate the Agreement to take effect at any time after the initial 13 week period by giving not less than one calendar month's notice in writing to Time For You. In such circumstances, the balance (if any) of the Retainer for the period after expiry of the notice shall be refunded to the Householder unless expiry of the notice falls within the initial period in which case the Agreement shall terminate immediately after the initial period and without refund. If for whatever reason the initial payment has not been made to Time For You at the time the Householder serves notice of termination, the Householder shall remain liable to make such payment to Time For You. Clauses 9.5 - 9.7 shall continue to apply. (The provisions of this Clause 9.2 do not affect the rights of the Householder in respect of cancellation as set out in Clause 10.)
9.3
Notwithstanding Clause 9.1, where the Householder has committed a serious breach of the terms of the Agreement, Time For You is entitled to terminate the Agreement immediately on written notice to the Householder, and, where applicable, Time For You shall take further action in connection with the said serious breach. Clauses 9.5 - 9.7 shall continue to apply.
9.4
Notwithstanding Clause 9.2, where Time For You has committed a serious breach of the terms of the Agreement, the Householder is entitled to terminate the Agreement immediately on written notice to Time For You. In such circumstances, the balance of the Retainer for the remainder of the then current quarter shall be refunded to the Householder. In these circumstances, the remainder of this Clause 9 shall not apply to the Householder.
9.5
The Householder will pay Time For You £500 immediately on receipt of a written demand, if within twelve months of the termination of the Agreement the Householder or the Householder's Associate either directly or indirectly employs or contracts with any Cleaner who has been introduced by Time For You to the Householder during the term of the Agreement.
9.6
Where the Householder cancels the standing order / direct debit mandate without giving one calendar month's notice to Time For You in writing, Time For You reserves the right to charge the Householder for any reasonable expenses incurred in respect of that cancellation in addition to any outstanding fee that remains due and payable plus interest.
9.7
It is the responsibility of the Householder to ensure that the standing order mandate paying the Retainer to Time For You is cancelled by the Householder's bank upon termination of the Agreement. Payments received for any period after the Agreement has terminated shall incur an administration charge of up to a maximum of £25, the actual amount to be the costs and expenses incurred by Time For You in returning any such payment.
10. CANCELLATION
10.1
The Notice of the Right to Cancel forms part of this Agreement.
10.2
The Householder confirms that they have been encouraged to read the Notice of the Right to Cancel.
10.3
The Householder is required to sign the Notice of the Right to Cancel if it would like Time For You to commence the delivery of its Services pursuant to this Agreement immediately.
10.4
The Householder is not required to sign the Notice of the Right to Cancel if it would like Time For You to commence the delivery of its Services pursuant to this Agreement following the expiration of 14 days from the date the Agreement was entered into.
10.5
Upon signing the Notice of the Right to Cancel and this Agreement, the Householder agrees to pay Time For You the following sums to acknowledge the Services delivered by Time For You, in the event that a notice of cancellation is served pursuant to The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations within 14 days of the date of this Agreement:
10.5.1
a sum no greater than £50 if the Cleaner has not commenced their Contract for Services; or
10.5.2
a sum no greater than the Retainer if the Cleaner has commenced the performance of their Contract for Services.
10.6
The Householder agrees that the payments referred to above may be deducted from the Retainer held by Time For You or that the Householder will pay Time For You immediately on receipt of a written demand.
10.7
The provisions of Clauses 9.5 to 9.7 shall apply on cancellation of the Agreement under this Clause.
10.8
The provisions of Clause 10.5 shall not apply if the Householder terminates the Agreement in response to a serious breach by Time For You.
11. GENERAL
11.1
Unless expressly stated otherwise, all representations, rights and obligations entered into by persons named as the Householder overleaf, if more than one, are given or entered into jointly and severally by each of those persons. Accordingly Time For You may take action against any one or more of such persons and may release or compromise the liability of any one or more of such persons without affecting the liability of the other(s).
11.2
If any provision of this Agreement shall be found to be void, invalid or unenforceable, whether by a court of law, agreement of the parties or otherwise, the remainder of this Agreement shall remain in full force and effect notwithstanding any such invalidity, illegality or unenforceability but the provision in question shall be deleted.
11.3
The Householder agrees to Time For You passing its non-financial personal data to Time For You Limited who may use it in accordance with the Privacy Policy, which shall include processing for the purposes of administration or to assist Time For You Limited in enforcing the terms of the franchise agreement with Time For You. Such data shall not be used by Time For You Limited for marketing purposes nor shall it be passed to any third party unless required to do so by law or in accordance with the terms of the Privacy Policy and/or franchise agreement between Time For You Limited and its franchisee.
11.4
The Householder agrees to Time For You Limited transferring the personal data submitted by it to Time For You, in order for Time For You to perform its obligations under this Agreement, in accordance with the Privacy Policy.
11.5
Any notice under this Agreement shall be in writing and (with the exception of the Notice of the Right to Cancel) shall be effective on actual or deemed receipt. Notice shall be given by personal service or by first class prepaid mail or by e-mail and shall be addressed to Time For You or to the Householder, as appropriate, at one of the addresses stated overleaf. Either party may, by written notice to the other, change the address to which notices to it may be sent. Deemed receipt shall occur in the case of personal service or e-mail on delivery and in the case of first class prepaid mail on the second working day after posting.
11.6
Time For You will upon written request from a Householder endeavour to provide cleaners who have been police checked subject to availability of such police checked cleaners in an area reasonably close to the Householder.
11.7
Time For You reserves the right to cancel, amend, withdraw or change any promotion, special offer or other marketing offer howsoever made without any prior notice or approval to or from the Householder.

Time For You is operated as a separately owned and operated franchisee of Time For You Limited (company number 4325626).

Your attention is particularly drawn to clauses 9, 11, 12.3 and 12.4.

Clause 9 concerns Time For You's limitation of liability.

Clause 11 concerns your statutory right to cancel.

Clauses 12.3 and 12.4 relates to your consent to share personal data with Time For You Limited, subject to their Privacy Policy.

1. DEFINITIONS
1.1
In these Terms, unless the context otherwise requires, the following words and expressions have the following meanings:
"Agreement"
means the agreement between Time For You and the Householder, which together includes these Terms, the Booking Form and the Order Confirmation;
"Booking Form"
means the form you completed in person, online or Time For You completed on your behalf over the telephone and which was then sent to the Householder by email;
"Cleaner"
means a cleaner from the database of cleaners maintained by Time For You;
"Commencement Date"
means as defined in clause 3;
"Householder" / "Householders"
means the party or parties whose details are specified in the Booking Form;
"Householder's Associate"
means any person who is a husband, wife, civil partner, son, daughter, brother or sister of the Householder who lives at the Householder's premises;
"Initial Period"
means 13 weeks from the Commencement Date;
"Notice of the Right to Cancel"
means the Notice of the Right to Cancel which accompanies and forms part of these Terms;
"Privacy Policy"
means the Time For You Limited's privacy policy which is available here;
"Retainer"
means the sum specified in the Booking Form or such sum as amended in compliance with these Terms;
"Services"
shall mean the services delivered by Time For You pursuant to these Terms which includes the recruitment, vetting, organisation, introduction and administration of the Cleaner to the Householder;
"Terms"
means these terms and conditions;
"Time For You"
means the franchisee of Time For You Limited whose details are stated in the Booking Form and/or the Order Confirmation;
"Time For You Limited"
means Time For You Limited (registered in England and Wales with company number 4325626) which is the company which grants Time For You franchises; and
"Website"
means the website at www.timeforyou.cleaning operated by Time For You Limited.
"Platform"
means the platform used to create bookings on the Time For You Website
1.2
In these Terms, unless the context indicates otherwise, the singular includes the plural and vice versa and masculine, feminine and neuter gender expressions include each other.
2. ENTIRE AGREEMENT AND AMENDMENTS
2.1
These Terms apply to the order set out in the Booking Form and the supply of the Services by Time For You to the Householder (together "the Agreement"). They apply to the exclusion of any other terms that the Householder may seek to impose or incorporate, or which are implied by law, trade custom, practice or course of dealing.
2.2
The Householder should print off a copy of these Terms or save them to their computer for future reference.
2.3
Time For You reserves the right to amend these Terms. Such amendment(s) shall only take effect and/or be deemed accepted by the Householder after:
2.3.1
Time For You has informed the Householder in writing of such changes and an updated form of these Terms has been posted on the Website; and
2.3.2
after the expiration of 30 days from Time For You's notice; and
2.3.3
Time For You continues to perform the Services.
3. PLACING AN ORDER AND ITS ACCEPTANCE
3.1
In order to place an order, the Householder will be required to complete the Booking Form. The Booking Form may be completed in person, via onscreen prompts on the Website or by telephone. The Householder may only submit an order using the methods specified by Time For You. Each Booking Form is an offer by the Householder to buy the Services in the Booking Form subject to these Terms.
3.2
The Booking Form and/or order process allows the Householder to check and amend any errors before the Booking Form is submitted. The Householder agrees to check the Booking Form carefully before its submission. The Householder is responsible for ensuring the Booking Form is complete and accurate.
3.3
After the Householder places an order using the Booking Form, the Householder will receive an email from Time For You acknowledging that Time For You has received it. The acknowledgment does not mean that the order has been accepted. Time For You's acceptance takes place in accordance with clause 3.4.
3.4
Time For You's acceptance of the order of the Services takes place when Time For You sends an email to the Householder confirming that the order has been accepted ("Order Confirmation"), at which point and on which date ("Commencement Date") the Agreement between the Householder and Time For You will come into existence.
3.5
If Time For You cannot supply the Householder with the Services for any reason, Time For You will inform the Householder of this by email and Time For You will not process the Householder's order. If the Householder has already paid for the Services, Time For You will refund the Householder the full amount.
4. SERVICES
4.1
Time For You shall introduce a Cleaner to the Householder to provide the hours of work specified in the Booking Form ("the Specification").
4.2
The Specification may be amended by agreement as between the Householder and the Cleaner. Time For You must be informed in writing of amendments to the Specification. Amendments to the Specification may increase or decrease payments to Time For You, subject to these Terms and/or the Retainer.
4.3
In performing its obligations under these Terms Time For You shall use its reasonable care and skill.
4.4
Subject to a written request by the Householder, Time For You will use its reasonable endeavours to ensure that the Cleaner has been police checked. This obligation is subject to the availability of police checked Cleaners in an area reasonably close to the Householder. Time For You shall have discretion as to the area deemed to be reasonably close to the Householder.
4.5
Time For You reserves the right to cancel, amend, withdraw or change any promotion, special offer or other marketing offer howsoever made without any prior notice or approval to or from the Householder.
5. INITIAL PERIOD AND PAYMENT
5.1
On or before the Commencement Date, the Householder shall:
5.1.1
Pay Time For You the Retainer for the on account of the Services for the Initial Period via the platform using Debit/Credit Card details; and
5.1.2
Agree that the payment details saved on the platform (or by using a separate standing order / direct debit mandate) will be used in order to execute payment of the Retainer from the Householder's bank account on a quarterly basis, in advance following expiration of the Initial Period.
5.2
Time For You shall not process any further payments as referred to in clause 5.1.2. to the Householder's bank until a Cleaner has been retained by the Householder.
5.3
Any change to the Specification must be reported to Time For You by the Householder in advance of its implementation by the Cleaner. The Householder agrees that the amount of the Retainer shall be amended by Time For You to reflect the amendment of the Specification.
5.4
If the Householder fails to notify Time For You of an amendment to the Specification, the Householder agrees to pay the unpaid portion of the Retainer for the period from the amendment of the Specification to date, on receipt of a written demand for payment by Time For You. Time For You reserves the right to demand interest on the unpaid portion of the Retainer as provided for in these Terms.
5.5
Time For You may charge the Householder interest on any sum not paid by its due date, at the prevailing Bank of England Base Rate plus 2% per month, calculated and/or chargeable on a daily basis.
6. HOUSEHOLDER OBLIGATIONS
6.1
The Cleaner is introduced to the Householder as a self-employed cleaner and the Householder shall retain the Cleaner under a "Contract for Services". The Contract for Services shall be a separate contractual arrangement between the Householder and the Cleaner only. The Householder shall agree the terms of the Contract for Services with the Cleaner.
6.2
The Householder shall agree with the Cleaner directly what services are to be performed by the Cleaner, and such services shall form the basis of the Cleaner's obligations under the Contract for Services to be entered into. The Householder may change the scope and manner of the services contracted for under the terms of the Contract for Services at any time by reaching mutual agreement with the Cleaner.
6.3
The Householder shall pay any Cleaner retained by the Householder at the rate agreed in the Contract for Services and such fees shall be paid directly to the Cleaner in accordance with that agreement.
6.4
The Householder shall provide a safe working environment for the Cleaner at all times. The Householder agrees that any personal injury incurred by the Cleaner as a consequence of the Householder's failure to provide a safe working environment shall be the Householder's responsibility. The Householder shall indemnify, and keep indemnified, Time For You as to any losses, damages and/or expenses incurred by Time For You arising from any personal injury claim pursued by the Cleaner against Time For You as a consequence of a failure by the Householder to provide a safe working environment.
7. OBLIGATIONS OF TIME FOR YOU
7.1
Time For You shall introduce a Cleaner to the Householder in accordance with clause 4.
7.2
Where the Householder is unhappy with the Cleaner introduced by Time For You and/or notifies Time For You that, for whatever reason, the Cleaner's services are to cease permanently, Time For You shall:
7.2.1
use its reasonable endeavours to introduce a replacement Cleaner to the Householder; and
7.2.2
issue the Householder with a refund or credit for any period that the Householder is without a Cleaner following the Householder's notification of the same, save to the extent that by agreement with the Householder the replacement Cleaner provides additional services to compensate the Householder for services not received by the Householder during the period when there was no Cleaner retained. In such circumstances, the Agreement shall continue unaffected and these Terms shall continue to apply.
7.3
If a suitable replacement Cleaner cannot be found and introduced to the Householder, then the Agreement may be terminated pursuant to clauses 10.2 and/or 10.4.
8. INSURANCE
8.1
In respect of each Cleaner introduced by Time For You and retained by the Householder, Time For You shall provide public liability insurance which provides indemnity cover.
8.2
The limit of Time For You's aggregate public liability insurance cover shall be no less than £2,000,000. Except in the circumstances stated in clause 9.2, neither Time For You nor its insurers, shall be liable for:
8.2.1
the first £100 of any claim; or
8.2.2
any event nor for any claim of £100 or less in value.
8.3
The Householder shall have adequate insurance cover in place against liabilities to the Cleaner and shall produce to Time For You a copy of the appropriate insurance policy and certificate if so requested by Time For You. This may take the form of a general household insurance policy.
8.4
The Householder shall not be covered by Time For You's insurance policy in the following circumstances:
8.4.1
where the cleaner used by the Householder is not a Cleaner provided pursuant to these Terms; and/or
8.4.2
where the materials or equipment used by the Cleaner are not provided directly by the Householder; and/or
8.4.3
where the Householder is in breach of these Terms; and/or
8.4.4
where the damage incurred to property arises from the use of bleach.
9. LIABILITY
9.1
Subject to clause 9.2 below, Time For You shall not be liable for:
9.1.1
any loss or damage in excess of the limit of its public liability insurance cover or outside the scope of its cover, as stated in clause 8;
9.1.2
any losses incurred by the Householder as a result of any failure of a retained Cleaner to comply with his or her contractual obligations under the Contract for Services for whatever reason;
9.1.3
failure of any retained Cleaner to return keys and any loss that may arise as a result;
9.1.4
collusion or theft of property or possessions by a retained Cleaner.
9.2
Time For You shall be liable to the Householder:
9.2.1
where Time For You has not fulfilled its obligations to perform with reasonable care and skill under these Terms or has failed to perform its obligations at all or to any significant extent;
9.2.2
for death or personal injury caused by its negligence.
9.3
These Terms shall not affect the statutory rights of the Householder as a consumer beyond what is legally permitted.
9.4
Clause 8 and 9 shall survive termination or cancellation of the Agreement.
10. TERMINATION
10.1
Time For You may terminate the Agreement immediately by serving written notice on the Householder where:
10.1.1
the Householder has failed to pay the Retainer or part of the Retainer for more than one month; and/or
10.1.2
where the Householder has breached clause 5; and/or
10.1.3
where the Householder has committed a repudiatory or substantial breach of these Terms.
10.2
Time For You may terminate the Agreement at any time by giving not less than one calendar month's notice in writing to the Householder. In such circumstances, the balance (if any) of the Retainer for the period after expiry of the notice shall be refunded to the Householder.
10.3
Save as set out in clause 10.5 and 11, the Householder may not terminate the Agreement in the Initial Period.
10.4
The Householder may terminate the Agreement to take effect at any time after the Initial Period by giving not less than one calendar month's notice in writing to Time For You. In such circumstances, the balance (if any) of the Retainer for the period after expiry of the notice shall be refunded to the Householder unless expiry of the notice falls within the initial period in which case the Agreement shall terminate immediately after the Initial Period and without refund. If for whatever reason the first Retainer payment has not been paid to Time For You at the time the Householder serves notice of termination, the Householder shall remain liable to make such payment to Time For You.
10.5
The Householder may terminate this Agreement immediately by serving written notice on Time For You, where Time For You has acted in repudiatory breach of these Terms. In such circumstances, the balance of the Retainer for the remainder of the then current quarter shall be refunded to the Householder.
10.6
Save where the Householder has terminated the Agreement pursuant to clause 10.5, the Householder will pay Time For You £500 immediately on receipt of a written demand, if within twelve months of the termination of the Agreement the Householder or the Householder’s Associate either directly or indirectly employs or contracts with any Cleaner who has been introduced by Time For You to the Householder during the term of the Agreement.
10.7
Where the Householder cancels the standing order / direct debit mandate without giving one calendar month's notice to Time For You in writing, Time For You reserves the right to charge the Householder for any reasonable expenses incurred in respect of that cancellation in addition to any outstanding fee that remains due and payable plus interest.
10.8
It is the responsibility of the Householder to ensure that the standing order mandate paying the Retainer to Time For You (if applicable) is cancelled by the Householder's bank upon termination of the Agreement. Payments received for any period after the Agreement has terminated shall incur an administration charge of up to a maximum of £25, the actual amount to be the costs and expenses incurred by Time For You in returning any such payment.
10.9
Time For You will be responsible for cancelling any payments made via Direct Debit or Credit/Debit Card where applicable.
11. CANCELLATION
11.1
The Notice of the Right to Cancel forms part of these Terms.
11.2
The Householder confirms that they have been encouraged to read the Notice of the Right to Cancel.
11.3
The Householder is required to sign the Notice of the Right to Cancel if it would like Time For You to commence the delivery of its Services pursuant to these Terms immediately.
11.4
The Householder is not required to sign the Notice of the Right to Cancel if it would like Time For You to commence the delivery of its Services pursuant to these Terms following the expiration of 14 days from Commencement Date.
11.5
Upon signing the Notice of the Right to Cancel and these Terms, the Householder agrees to pay Time For You the following sums to acknowledge the Services delivered by Time For You, in the event that a notice of cancellation is served pursuant to The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations within 14 days of the Commencement Date:
11.5.1
a sum no greater than £50 if the Cleaner has not commenced their Contract for Services; or
11.5.2
a sum no greater than the Retainer if the Cleaner has commenced the performance of their Contract for Services.
11.6
The Householder agrees that the payments referred to above may be deducted from the Retainer held by Time For You or that the Householder will pay Time For You immediately on receipt of a written demand.
11.7
The provisions of clauses 10.6 to 10.8 shall survive and continue to apply notwithstanding a notice to cancel pursuant to clause 11.
11.8
The provisions of clause 11.5 shall not apply if the Householder cancels the Agreement using clause 11 in response to a repudiatory breach of the Agreement by Time For You.
12. GENERAL
12.1
Unless expressly stated otherwise, all representations, rights and obligations entered into by persons named as the Householder in the Booking Form, if more than one, are given or entered into jointly and severally by each of those persons. Accordingly, Time For You may take action against any one or more of such persons and may release or compromise the liability of any one or more of such persons without affecting the liability of the other(s).
12.2
If any provision of these Terms shall be found to be void, invalid or unenforceable, whether by a court of law, agreement of the parties or otherwise, the remainder of these Terms shall remain in full force and effect notwithstanding any such invalidity, illegality or unenforceability but the provision in question shall be deleted.
12.3
The Householder agrees to Time For You passing its non-financial personal data to Time For You Limited who may use it in accordance with the Privacy Policy, which shall include processing for the purposes of administration or to assist Time For You Limited in enforcing the terms of the franchise agreement with Time For You. Such data shall not be used by Time For You Limited for marketing purposes nor shall it be passed to any third party unless required to do so by law or in accordance with the terms of the Privacy Policy and/or the franchise agreement between Time For You Limited and Time For You.
12.4
The Householder agrees to Time For You Limited transferring the personal data submitted by it to Time For You, in order for Time For You to perform its obligations under these Terms, in accordance with the Privacy Policy.
12.5
Save for the Notice of the Right to Cancel, all notices under these Terms shall be in writing and shall be deemed received as follows:
12.5.1
immediately if personally delivered to Time For You or the Householder to the address stated in the Booking Form or as revised in accordance with this term; or
12.5.2
two business days after the notice is posted, if sent by first class post to Time For You or the Householder to the address stated in the Booking Form or as revised in accordance with this term; or
12.5.3
as would be received in the ordinary course of transmission, if sent to Time For You's or the Householder's email addresses stated in the Booking Form.
12.6
Either party may, by written notice to the other, change the address or email address to which notices to it may be sent.
12.7
The Agreement is governed by English law and the parties each irrevocably agree to submit all disputes arising out of or in connection with the Agreement to the exclusive jurisdiction of the English courts.

Time For You is operated as a separately owned and operated franchisee of Time For You Limited (company number 4325626).

Your attention is particularly drawn to clauses 9, 11, 12.3 and 12.4.

Clause 9 concerns Time For You's limitation of liability.

Clause 11 concerns your statutory right to cancel.

Clauses 12.3 and 12.4 relates to your consent to share personal data with Time For You Limited, subject to their Privacy Policy.

1. DEFINITIONS
1.1
In these Terms, unless the context otherwise requires, the following words and expressions have the following meanings:
"Agreement"
means the agreement between Time For You and the Householder, which together includes these Terms, the Booking Form and the Order Confirmation;
"Booking Form"
means the form you completed in person, online or Time For You completed on your behalf over the telephone and which was then sent to the Householder by email;
"Cleaner"
means a cleaner from the database of cleaners maintained by Time For You;
"Commencement Date"
means as defined in clause 3;
"Householder" / "Householders"
means the party or parties whose details are specified in the Booking Form;
"Householder's Associate"
means any person who is a husband, wife, civil partner, son, daughter, brother or sister of the Householder who lives at the Householder's premises;
"The Booking"
means services as defined in the booking form;
"Notice of the Right to Cancel"
means the Notice of the Right to Cancel which accompanies and forms part of these Terms;
"Privacy Policy"
means the Time For You Limited's privacy policy which is available here;
"Booking Fee"
means the sum specified in the Booking Form or such sum as amended in compliance with these Terms;
"Services"
shall mean the services delivered by Time For You pursuant to these Terms which includes the recruitment, vetting, organisation, introduction and administration of the Cleaner to the Householder;
"Service Date"
Means the date that services by a cleaner will commence.
"Terms"
means these terms and conditions;
"Time For You"
means the franchisee of Time For You Limited whose details are stated in the Booking Form and/or the Order Confirmation;
"Time For You Limited"
means Time For You Limited (registered in England and Wales with company number 4325626) which is the company which grants Time For You franchises; and
"Website"
means the website at www.timeforyou.cleaning operated by Time For You Limited.
"Platform"
means the platform used to create bookings on the Time For You Website
1.2
In these Terms, unless the context indicates otherwise, the singular includes the plural and vice versa and masculine, feminine and neuter gender expressions include each other.
2. ENTIRE AGREEMENT AND AMENDMENTS
2.1
These Terms apply to the order set out in the Booking Form and the supply of the Services by Time For You to the Householder (together "the Agreement"). They apply to the exclusion of any other terms that the Householder may seek to impose or incorporate, or which are implied by law, trade custom, practice or course of dealing.
2.2
The Householder should print off a copy of these Terms or save them to their computer for future reference.
2.3
Time For You reserves the right to amend these Terms. Such amendment(s) shall only take effect and/or be deemed accepted by the Householder after:
2.3.1
Time For You has informed the Householder in writing of such changes and an updated form of these Terms has been posted on the Website; and
2.3.2
after the expiration of 30 days from Time For You's notice; and
2.3.3
Time For You continues to perform the Services.
3. PLACING AN ORDER AND ITS ACCEPTANCE
3.1
In order to place an order, the Householder will be required to complete the Booking Form. The Booking Form may be completed in person, via onscreen prompts on the Website or by telephone. The Householder may only submit an order using the methods specified by Time For You. Each Booking Form is an offer by the Householder to buy the Services in the Booking Form subject to these Terms.
3.2
The Booking Form and/or order process allows the Householder to check and amend any errors before the Booking Form is submitted. The Householder agrees to check the Booking Form carefully before its submission. The Householder is responsible for ensuring the Booking Form is complete and accurate.
3.3
After the Householder places an order using the Booking Form, the Householder will receive an email from Time For You acknowledging that Time For You has received it. The acknowledgment does not mean that the order has been accepted. Time For You's acceptance takes place in accordance with clause 3.4.
3.4
Time For You's acceptance of the order of the Services takes place when Time For You sends an email to the Householder confirming that the order has been accepted ("Order Confirmation"), at which point and on which date ("Commencement Date") the Agreement between the Householder and Time For You will come into existence.
3.5
If Time For You cannot supply the Householder with the Services for any reason, Time For You will inform the Householder of this by email and Time For You will not process the Householder's order. If the Householder has already paid for the Services, Time For You will refund the Householder the full amount.
4. SERVICES
4.1
Time For You shall introduce a Cleaner to the Householder to provide the hours of work specified in the Booking Form ("the Specification") and provide the householder with a Service Date.
4.2
The Specification may be amended by agreement as between the Householder and the Cleaner. Time For You must be informed in writing of amendments to the Specification. Amendments to the Specification may increase or decrease payments to Time For You, subject to these Terms and/or the Booking Fee.
4.3
In performing its obligations under these Terms Time For You shall use its reasonable care and skill.
4.4
Subject to a written request by the Householder, Time For You will use its reasonable endeavours to ensure that the Cleaner has been police checked. This obligation is subject to the availability of police checked Cleaners in an area reasonably close to the Householder. Time For You shall have discretion as to the area deemed to be reasonably close to the Householder.
4.5
Time For You reserves the right to cancel, amend, withdraw or change any promotion, special offer or other marketing offer howsoever made without any prior notice or approval to or from the Householder.
5. THE BOOKING AND BOOKING FEE
5.1
On or before the Commencement Date, the Householder shall:
5.1.1
Pay Time For You the Booking Fee on account of the Services for the booking via the platform using Debit/Credit Card details; and
5.1.2
Agree that the payment details saved on the platform will be used in order to execute any other payment due in regard to the booking.
5.2
Time For You shall not process any further payments as referred to in clause 5.1.2. to the Householder's bank until they become due and payable and the householder has been notified.
5.3
Any change to the Specification must be reported to Time For You by the Householder in advance of its implementation by the Cleaner. The Householder agrees that the amount of the booking fee shall be amended by Time For You to reflect the amendment of the Specification.
5.4
If the Householder fails to notify Time For You of an amendment to the Specification, the Householder agrees to pay the unpaid portion of the booking fee for the period from the amendment of the Specification to date, on receipt of a written demand for payment by Time For You. Time For You reserves the right to demand interest on the unpaid portion of the Booking Fee as provided for in these Terms.
5.5
Time For You may charge the Householder interest on any sum not paid by its due date, at the prevailing Bank of England Base Rate plus 2% per month, calculated and/or chargeable on a daily basis.
6. HOUSEHOLDER OBLIGATIONS
6.1
The Cleaner is introduced to the Householder as a self-employed cleaner and the Householder shall retain the Cleaner under a "Contract for Services". The Contract for Services shall be a separate contractual arrangement between the Householder and the Cleaner only. The Householder shall agree the terms of the Contract for Services with the Cleaner.
6.2
The Householder shall agree with the Cleaner directly what services are to be performed by the Cleaner, and such services shall form the basis of the Cleaner's obligations under the Contract for Services to be entered into. The Householder may change the scope and manner of the services contracted for under the terms of the Contract for Services at any time by reaching mutual agreement with the Cleaner.
6.3
The Householder shall pay any Cleaner retained by the Householder at the rate agreed in the Contract for Services and such fees shall be paid directly to the Cleaner in accordance with that agreement.
6.4
The Householder shall provide a safe working environment for the Cleaner at all times. The Householder agrees that any personal injury incurred by the Cleaner as a consequence of the Householder's failure to provide a safe working environment shall be the Householder's responsibility. The Householder shall indemnify, and keep indemnified, Time For You as to any losses, damages and/or expenses incurred by Time For You arising from any personal injury claim pursued by the Cleaner against Time For You as a consequence of a failure by the Householder to provide a safe working environment.
7. OBLIGATIONS OF TIME FOR YOU
7.1
Time For You shall introduce a Cleaner to the Householder in accordance with clause 4.
7.2
Where the Householder is unhappy with the Cleaner introduced by Time For You and/or notifies Time For You that, for whatever reason, the Cleaner's services are to cease permanently, Time For You shall:
7.2.1
use its reasonable endeavours to introduce a replacement Cleaner to the Householder; and
7.3
If a suitable replacement Cleaner cannot be found and introduced to the Householder, then the Agreement may be terminated pursuant to clauses 10.2 and/or 10.4.
8. INSURANCE
8.1
In respect of each Cleaner introduced by Time For You and retained by the Householder, Time For You shall provide public liability insurance which provides indemnity cover.
8.2
The limit of Time For You's aggregate public liability insurance cover shall be no less than £2,000,000. Except in the circumstances stated in clause 9.2, neither Time For You nor its insurers, shall be liable for:
8.2.1
the first £100 of any claim; or
8.2.2
any event nor for any claim of £100 or less in value.
8.3
The Householder shall have adequate insurance cover in place against liabilities to the Cleaner and shall produce to Time For You a copy of the appropriate insurance policy and certificate if so requested by Time For You. This may take the form of a general household insurance policy.
8.4
The Householder shall not be covered by Time For You's insurance policy in the following circumstances:
8.4.1
where the cleaner used by the Householder is not a Cleaner provided pursuant to these Terms; and/or
8.4.2
where the materials or equipment used by the Cleaner are not provided directly by the Householder; and/or
8.4.3
where the Householder is in breach of these Terms; and/or
8.4.4
where the damage incurred to property arises from the use of bleach.
9. LIABILITY
9.1
Subject to clause 9.2 below, Time For You shall not be liable for:
9.1.1
any loss or damage in excess of the limit of its public liability insurance cover or outside the scope of its cover, as stated in clause 8;
9.1.2
any losses incurred by the Householder as a result of any failure of a retained Cleaner to comply with his or her contractual obligations under the Contract for Services for whatever reason;
9.1.3
failure of any retained Cleaner to return keys and any loss that may arise as a result;
9.1.4
collusion or theft of property or possessions by a retained Cleaner.
9.2
Time For You shall be liable to the Householder:
9.2.1
where Time For You has not fulfilled its obligations to perform with reasonable care and skill under these Terms or has failed to perform its obligations at all or to any significant extent;
9.2.2
for death or personal injury caused by its negligence.
9.3
These Terms shall not affect the statutory rights of the Householder as a consumer beyond what is legally permitted.
9.4
Clause 8 and 9 shall survive termination or cancellation of the Agreement.
10. TERMINATION
10.1
Time For You may terminate the Agreement immediately by serving written notice on the Householder where:
10.1.1
the Householder has failed to pay the Booking Fee or part of the Booking Fee for The Booking; and/or
10.1.2
where the Householder has breached clause 5; and/or
10.1.3
where the Householder has committed a repudiatory or substantial breach of these Terms.
10.2
Save as set out in clause 10.4 and 11, the Householder may not terminate the Agreement after the agreed Services have been delivered by Time For You.
10.3
The Householder may terminate the Agreement to take effect at any time before the Service Date by giving not less than 48 hours' notice in writing to Time For You. In such circumstances, the Booking Fee shall be refunded to the Householder. If the notice falls within 48 hours of the Service Date, the Agreement shall terminate immediately after the Service Date and without refund. If for whatever reason the Booking Fee has not been paid to Time For You at the time the Householder serves notice of termination, the Householder shall remain liable to make such payment to Time For You.
10.4
The Householder may terminate this Agreement immediately by serving written notice on Time For You, where Time For You has acted in repudiatory breach of these terms. In such circumstances, the balance of the Booking Fee for the remainder of the then current quarter shall be refunded to the Householder.
10.5
Save where the Householder has terminated the Agreement pursuant to clause 10.4, the Householder will pay Time For You £500 immediately on receipt of a written demand, if within twelve months of the termination of the Agreement the Householder or the Householder's Associate either directly or indirectly employs or contracts with any Cleaner who has been introduced by Time For You to the Householder during the term of the Agreement.
10.6
Where the Householder cancels payment of the Booking Fee without giving notice to Time For You in writing, Time For You reserves the right to charge the Householder for any reasonable expenses incurred in respect of that cancellation in addition to any outstanding fee that remains due and payable plus interest.
11. CANCELLATION
11.1
The Notice of the Right to Cancel forms part of these Terms.
11.2
The Householder confirms that they have been encouraged to read the Notice of the Right to Cancel.
11.3
The Householder is required to sign the Notice of the Right to Cancel if it would like Time For You to commence the delivery of its Services pursuant to these Terms immediately.
11.4
The Householder is not required to sign the Notice of the Right to Cancel if it would like Time For You to commence the delivery of its Services pursuant to these Terms following the expiration of 14 days from Commencement Date.
11.5
Upon signing the Notice of the Right to Cancel and these Terms, the Householder agrees to pay Time For You the following sums to acknowledge the Services delivered by Time For You, in the event that a notice of cancellation is served pursuant to The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations within 14 days of the Commencement Date:
11.5.1
a sum no greater than £25 if the Cleaner has not commenced their Contract for Services; or
11.5.2
a sum no greater than the Booking Fee if the Cleaner has commenced the performance of their Contract for Services or the where The Booking is within 48 hours of the Service Date.
11.6
The Householder agrees that the payments referred to above may be deducted from the Booking Fee held by Time For You or that the Householder will pay Time For You immediately on receipt of a written demand.
11.7
The provisions of clauses 10.6 to 10.8 shall survive and continue to apply notwithstanding a notice to cancel pursuant to clause 11.
11.8
The provisions of clause 11.5 shall not apply if the Householder cancels the Agreement using clause 11 in response to a repudiatory breach of the Agreement by Time For You.
12. GENERAL
